Registration and/or review of business ventures: This includes the preparation of constitutional documents such as the Memorandum of Incorporation (MOI) as well as navigating and ensuring compliance with applicable regulations and operational requirements.

Compliance Requirements: This includes ensuring that applicable regulatory and operational imperatives are adhered to, which ranges from BBBEE compliance, competition law and industry-specific regulations and corporate government mechanisms.

General Commercial Advice: We assist in enforceability of contract terms, dispute resolution, and remedies for breach of contract, mergers and acquisitions, corporate restructuring, due diligence investigations, corporate restructuring, corporate governance advice, including the responsibilities of directors and officers, compliance with the King IV Report on Corporate Governance, and shareholder rights.

Drafting and reviewing commercial contracts: We supply agreements, service contracts, franchise agreements, non-disclosure agreements, shareholder agreements, procurement and construction agreements, operational and maintenance agreements, partnership agreements, data sharing agreements, board resolutions, corporate policies and joint venture agreements.

General commercial litigation: We represent clients in litigation related to contract disputes, including breach of contract, enforcement of provisions thereof, interpretation of contracts and debt collection. We also assist clients with disputes as it relates to shareholding and/or liquidations and business rescue.
